Terms of Service & Licensing Agreement

1. Acceptance & Commercial Authority

You represent and warrant that you possess the legal authority to bind your organization to these Terms. If you are registering an account on behalf of a company, partnership, or real estate developer, you confirm that you are authorized to accept these obligations on its behalf.

2. Workspace Accounts, RBAC & Tenant Liability

Access to Admiyz is governed through multi-tenant workspaces. Account hierarchy adheres to four designated roles:

• Workspace Owner: Holds ultimate administrative control over billing, subscription tiers, API integration keys, and workspace deletion.
• Workspace Admin: Manages knowledge base document ingestion, team invitations, and sales routing rules.
• Member / Sales Specialist: Qualified for live conversation takeover, CRM deal progression, and visitor appointment management.
• Viewer: Restricted to read-only access for executive analytics and aggregated reporting.

The Workspace Owner assumes primary commercial responsibility for all activities, API calls, and outbound messaging executed under the workspace's credentials.

3. Acceptable Use Policy & Prohibited Conduct

You agree to utilize Admiyz exclusively for lawful business customer acquisition, lead qualification, and customer relationship management. You expressly agree not to:

4. Service Level Agreement (SLA) & Uptime Commitments

Admiyz maintains high-availability infrastructure backed by multi-region MongoDB Replica Sets (rs0) and Redis AOF persistence queues:

• Growth Pro Tier: Targeted 99.9% monthly uptime availability for website widget ingestion and REST API endpoints.
• Enterprise Tier: 99.98% contractual uptime SLA backed by financial service credits for unexcused outages exceeding 0.02% per calendar month.
• Maintenance Windows: Planned maintenance requiring downtime will be announced at least 72 hours in advance and executed during off-peak windows (Sunday 02:00–04:00 UTC).

5. Subscriptions, Invoicing & Cancellation Terms

Subscription fees are billed in advance on either a monthly or annual recurring cycle:

• Automatic Renewals: Subscriptions automatically renew at the conclusion of each billing period unless canceled at least 24 hours prior to the renewal date.
• Prorated Plan Upgrades: Upgrading between tiers immediately prorates the remaining credit balance from your current cycle and applies it toward the higher tier.
• Refund Policy: We offer a 14-day fully featured free pilot. Subscriptions billed after the trial period are non-refundable. When you cancel, access remains fully operational until the end of the paid term.

6. Intellectual Property Rights

You retain 100% sole ownership of all customer data, uploaded brochures, price matrices, and conversation transcripts uploaded to Admiyz. Admiyz retains all right, title, and interest in and to the platform software, algorithms, widget design tokens, user interface components, and API architectures.

7. Limitation of Liability & Third-Party Services

To the maximum extent permitted by applicable law, Admiyz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or real estate deal opportunities resulting from:

• Downtime or API throttling caused by upstream third-party service providers (including Meta Cloud API WhatsApp outages, Twilio carrier gateway delays, or internet network routing issues).
• Actions taken by sales reps based on conversational entity summaries.
• Deliberate or unauthorized access resulting from compromised customer API keys.

In no event shall Admiyz's total aggregate liability exceed the total subscription fees paid by you to Admiyz during the twelve (12) month period immediately preceding the event giving rise to liability.
